Terms of Service

These terms explain the rules for using XALIVE — a tool for creating, talking to, and sharing living AI characters. Please read them before you start.
1. Who we are and what you are agreeing to
XALIVE is operated by XRX, a company based in the Republic of Korea ([company registration details, representative, address, and contact to be added]). If a United States affiliate later becomes the operating entity for some regions, we will update these terms and let you know.
By creating an account or using XALIVE at www.xalive.ai, you agree to these terms, our Privacy Policy, and our Refund Policy. If you do not agree, please do not use the service.
2. What XALIVE is — and an honest note about AI
XALIVE lets you create AI characters, teach them memories, talk with them by text or voice, and share them with others.
Every character on XALIVE is an AI. Characters are not human beings, and what they say is generated by software. Their words can be wrong, incomplete, or made up, and their expressions of emotion are simulated, not felt. Nothing a character says is professional advice — medical, legal, financial, or otherwise. If you need real help, please talk to a qualified person.
3. Your account
You must be at least 14 years old to use XALIVE (or older if the law where you live requires it). You are responsible for keeping your sign-in details safe and for everything that happens under your account. Please give us accurate information and keep it up to date.
4. Your characters and the material you upload
You keep ownership of what you create and upload — character files, images, voices, memories you teach, and conversations you write. You give us permission to store, process, and display that material only as needed to run the service (for example, to show your character on screen or to let it remember what you taught it).
XALIVE is a tool. You are responsible for making sure you have the rights to any material you upload, including character models, artwork, and voices created by others. If someone claims your upload infringes their rights, that claim is between you and them; we may remove material in response to a valid legal claim.
If you make a character public, you are responsible for what it presents to others, and you choose how far it can be shared using the controls we provide.
5. Rules of use
When using XALIVE, you agree not to:
- break the law or help others break it;
- upload material you do not have the rights to use;
- imitate a real person without their permission, or use a character to deceive people in a harmful way;
- harass, threaten, or abuse others, or create content that sexualizes minors — this leads to immediate termination and, where required, a report to authorities;
- try to break, overload, copy, or reverse-engineer the service;
- collect other people's personal information through the service without their consent.
6. Paid plans and billing
XALIVE plans to offer paid subscriptions in the following tiers (monthly, in Korean won): Free (0), Lite (9,900), Plus (19,800), Pro (49,800), and Studio (149,000). These prices are planned and may change before or after launch; the price shown at checkout is the one that applies. Each tier comes with its own usage limits, shown on the pricing page.
Payments are handled by an external payment provider (Stripe is planned). Subscriptions renew automatically each billing period until you cancel. If we change a price, we will tell you in advance, and the change applies from your next renewal.
7. Cancellation and ending your account
You can cancel a subscription at any time; cancellation stops the next renewal, and you keep access until the end of the period you paid for. Refunds are handled under our Refund Policy.
You can delete your account at any time. Deletion of your data follows the Privacy Policy, including a 30-day grace period before permanent deletion.
We may suspend or close accounts that break these terms. Where reasonably possible, we will warn you first and explain why.
8. What we do not promise
We work hard to keep XALIVE running well, but we provide the service as it is. To the extent the law allows, we do not guarantee that the service will always be available, error-free, or that AI-generated content will be accurate or suitable for any particular purpose.
9. Liability
Nothing in these terms removes rights that consumer protection law gives you and that cannot be waived. Beyond that, and to the extent the law allows, our liability for damages related to the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim, and we are not liable for indirect or consequential losses. 10. Changes to the service and these terms
XALIVE is evolving, and features may be added, changed, or retired. If we make a material change to these terms, we will notify you in advance through the service or by email. If you keep using XALIVE after the change takes effect, the new terms apply.
11. Governing law and disputes
These terms are governed by the laws of the Republic of Korea. If you live elsewhere, you keep any protections that the mandatory consumer law of your country gives you. Disputes will be handled by the courts with jurisdiction under applicable law. [Dispute resolution and venue clause to be confirmed by counsel.]
